Are Non-Compete Agreements Becoming Old School?
I understand the perceived need. You have much time and money tied up in your employees, customers and processes. You want and need to protect that investment. But is a non-compete agreement the right way to do that? Maybe not and here are some reasons why. First, it appears that new legislation may be on the books to invalidate most non-compete agreements. Second, these agreements are receiving a lot of bad publicity in the press lately. Companies are using non-competes with lower paying positions such as janitorial workers or trying to make them too broad. Third, many states are restricting or even denying the use of non-competes. They can tie up your resources in a long, expensive and negative publicity generating battle. They also make it more difficult and expensive for you to hire the people you need. Employees are afraid to sign them.
So if you need your protection, what is the alternative? Take a look at a confidentiality or trade secret/non-disclosure agreement. You keep your customers and processes private. New employees are less concerned about their future and are more willing to sign these. The courts are much more friendly. You look kinder to the community. Think about it and check with your legal counsel.
